Job Description
We are seeking a detail-oriented and responsible Legal Specialist to support the day-to-day legal operations of Cho Tot Company Limited. This role will focus on reviewing standard contracts, providing basic legal support to internal teams, managing legal documentation, and ensuring compliance with internal policies regarding the use of company stamps and records.
Key Responsibilities
1. Contract Review & Legal Advisory
- Draft, review, revise, and advise on a wide range of commercial agreements and legal forms, including but not limited to collaboration agreements, service agreements, advertising contracts, e-commerce, non-disclosure agreements (NDAs), and other business-related contracts;
- Ensure all contract terms are compliant with Vietnamese laws and internal company policies;
- Respond to and assist with daily questions and requests of business units and functions in Vietnam;
- Provide basic legal advice and support to internal teams (e.g., business development, marketing, promotion campaign customer service) on day-to-day operational matters;
- Prepare legal documents, reports, meeting minutes, and correspondence using appropriate business and legal language;
- Develop and implement draft processes, procedures, and guiding documents for contract review to enhance compliance across all business functions;
- Maintain a centralized contract repository (both physical and digital) to ensure easy access, version control, and traceability; and Track contract lifecycles including signing, renewal, termination, and archiving;
- Coordinate with internal departments to ensure contract obligations are fulfilled;
- Maintain and update contract templates and standard clauses to ensure consistency and legal compliance;
- Develop, implement and maintain the internal regulations/policies of the company and other relevant legal documents.
2. Corporate Secretarial & Legal Administration
- Prepare and format legal documents, internal guidelines, meeting minutes, and decisions as assigned; coordinate document signing and internal approval workflows;
- Handle mandatory reporting, license renewals, and other regulatory compliance related to the company’s operations;
- Manage and safeguard key corporate records (e.g., business registration certificates, investment licenses); organize and maintain legal document archives (both physical and digital) with proper structure for easy retrieval and regular updates;
- Monitor and control the use of the company’s stamp in accordance with internal policies; ensure proper authorization and maintain a stamp logbook;
- Provide other legal and administrative support as assigned by the department head.
3. Legal Research
- Monitor updates to new laws and new changes in key legal regulations relevant to the business (e.g., e-commerce, data privacy, consumer protection);
- Conduct legal research on applicable laws and regulations, particularly in areas such as e-commerce, technology, intellectual property, advertising, data protection, privacy, and any emerging regulations that may impact the company’s operations;
- Assist in preparing compliance reports, training materials, or legal updates to internal stakeholders.
Qualifications
- Bachelor of Laws (LLB) at a reputable law school or higher.
- Either a Certificate of the Professional Lawyer Training Course or a Lawyer Practicing Certificate is considered a plus.
- Around 3–5 years of relevant legal experience, including contract review, corporate secretarial support, or handling other in-house legal tasks. Prior experience working in an in-house legal team, preferably in the tech or e-commerce sector, is a plus.
- Familiarity with fast-paced business environments is highly valued.
- Strong understanding of Vietnamese laws related to e-commerce, commercial activities, and data protection
- Solid knowledge of corporate law, commercial law, foreign investment regulations, and Vietnam’s WTO commitments.
- Excellent organizational skills and attention to detail.
- Strong analytical and problem-solving capabilities with sound legal judgment.
- Excellent communication skills in both Vietnamese and English (written and verbal).
- Ability to work independently as well as collaboratively in a team environment.
- Confident in working with cross-functional teams and senior stakeholders.
- High degree of professional ethics, integrity, and business-oriented thinking.
