Responsibilities:
Legal
- Serve on the committees and teams of the RMC (Risk Management Committee), the BCP (Business Continuity Plan), the CMT (Crisis Management Team), and the BPWG (Brand Protection Working Group).
- Draft important correspondences, review and/or revise various legal documents, undertake legal research, check the contents of records, and handle document retention for the company
- Manage licensing matters of the company including but not limited to providing legal advice and drafts, submitting application dossiers, and working with the relevant licensing authorities to amend the Investment Registration Certificate, Enterprise Registration Certificate, Branch Registration Certificate, and Alcohol Distribution Certificates.
- Fully in charge of all legal matters related to operations of the company, including but not limited to providing legal advice and working with the stakeholders in Commerce/Sales, Finance, Supply, Marketing, Human Resources (“HR”), and Corporate Relations (“CR”) and assist them in working, meeting, and negotiating with third parties to complete the transactions.
- Company secretary works: supervise and manage and approve to implement the company secretary works.
- Regulatory updates: oversight and manage the stakeholders in Vietnam to keep track and update on the local regulation changes impacted and related to the local business.
- Advise, manage and work with the stakeholders to prepare and review/approve the all mandatory reports in line with local regulations.
- Advise and review the business strategies, commercial master proposals, distribution contracts, sale contracts, trade letters, and customer marketing activities.
- Advise and assist the Supply team on matters of supply, procurement, and logistics including but not limited to providing support on legal advice on customs regulations, import/export formalities and post-customs audit, review and approve inter-company distribution agreements, procurement contracts, warehouse leases, logistic service agreements, delivery/shipping documents, application files for brand registration/product quality with the provincial Department of Health
- Provide legal advice on HR matters, review and approve internal labour regulations, collective labour agreements, labour contract templates
- Work with BI (Business Integrity) team to handle compliance matters including but not limited to providing legal advice, propose amendments, and/or update internal rules of the company in accordance with changes of local laws, conduct internal compliance training on the Group’s policies/guidelines/standards, supervise the implementation of such policies/ guidelines/standards, and review and approve the KYBP (Know Your Business Partners), G&E (Giftings & Entertainment), and DMC (Diageo Marketing Code).
